Effective Date: May 19, 2025
Welcome to the website of NovaBridge Immigration Services Corp. (referred to as “NovaBridge,” “we,” “us,” or “our”). NovaBridge Immigration Services Corp. is also known as NovaBridge Immigration Services or simply NovaBridge, as used interchangeably on this site. By accessing or using our website and any services offered through it, you (the “user,” “client,” or “you”) agree to comply with and be bound by these Terms of Service. Please read these terms carefully. If you do not agree with any part of these terms, do not use our website or services.
We are a licensed Canadian immigration consultancy based in Alberta, operated by a Regulated Canadian Immigration Consultant (RCIC) in good standing with the College of Immigration and Citizenship Consultants (CICC). NovaBridge is authorized to provide immigration advice and representation under Canadian law, including the College of Immigration and Citizenship Consultants Act and Canada’s immigration laws (the Immigration and Refugee Protection Act (IRPA)and Immigration and Refugee Protection Regulations (IRPR)). All services are provided in accordance with CICC regulations and applicable law.
By using our website, booking a consultation, or otherwise engaging with our online services, you indicate your acceptance of these Terms of Service. This agreement is effective as of the date you first use the site. If you do not agree, you must not use the site or services.
We may update or modify these Terms of Service from time to time. Any changes will become effective when posted on this page, with an updated effective date. It is your responsibility to review these terms periodically for updates. We will, if feasible, provide notice of material changes (for example, by posting a notice on our website). By continuing to use the website after changes are posted, you accept and agree to the revised terms.
NovaBridge provides immigration consulting services through this website, primarily to facilitate client engagement and communication. Our online services include:
Information and Service Descriptions: General information about our immigration consulting services and areas of practice (e.g., temporary residence visas, study/work permits, permanent residence programs, family sponsorship, citizenship, etc.). All such content is for general informational purposes only and is not individualized legal advice.
Online Consultations Booking: The ability to schedule online or in-person immigration consultations with our RCIC. Consultations may be conducted via phone, video conference, or other remote communication tools as offered.
Fee-Based Services: Some services accessible via the website (such as booking a detailed initial consultation or eligibility assessment) may require payment of a fee. Any applicable fees will be clearly communicated to you before you confirm a booking or service.
Contact and Inquiry Forms: Tools to submit inquiries, request information, or provide details to initiate a consultation or service.
All services described or booked through the website are provided by a licensed immigration consultant in Canada. Formal client engagement (retainer for representation) beyond an initial consultation occurs offline and will require a separate written agreement (see Section 5). NovaBridge’s services and advice are based in Canada and governed by Canadian laws and immigration regulations. We strive to provide accurate and up-to-date guidance, but immigration laws and policies can change, and we do not guarantee that any application or outcome will be successful (see Section 7).
By using this website or booking services, you represent and warrant that you are at least the age of majority in your jurisdiction (18 years or older in Alberta and most regions) and legally capable of entering into a binding agreement. If you are using the site on behalf of another person or a legal entity, you represent that you have the authority to do so and to bind that person or entity to these terms.
Our services are intended for individuals and organizations seeking assistance with Canadian immigration matters. You agree that you will only use our site and services for lawful purposes and in compliance with these Terms and all applicable laws. You are not permitted to use the website or our services if doing so would violate any local laws or regulations that apply to you, or if you have been barred from receiving such services under Canadian laws or regulations.
You agree to provide information that is truthful, accurate, current, and complete when using our site (for example, when filling out inquiry forms or booking a consultation). If you create any bookings or provide details, you are responsible for maintaining the confidentiality of any booking confirmations or communication details and for restricting access to your email/account to prevent unauthorized use. NovaBridge does not offer user accounts or login portals; any personal data you provide is handled in accordance with our Privacy Policy and applicable law (see Section 9).
When you schedule an online consultation or any service through our website, you may be required to provide certain information (such as your name, contact information, and details about your immigration inquiry) and, if the service is fee-based, payment details (see Section 6 on Fees). Booking Confirmation: Once you complete a booking request, we will confirm the appointment via email or through the contact information you provided. We reserve the right to refuse or cancel a booking (with a refund if applicable) if it does not meet our eligibility criteria or if scheduling is not possible.
Consultation Scope: An initial consultation is an opportunity to discuss your immigration goals and assess options. It does not in itself create an ongoing client-consultant relationship or an obligation for us to represent you beyond the consultation. Engaging in a consultation or contacting us through the website does not establish a professional client relationship with NovaBridge. Any extended representation or immigration application handling will only occur under a separate, written retainer agreement signed by both you and NovaBridge, which will outline the scope of services, fees, and responsibilities for the specific engagement. Until such an agreement is signed, you should not consider any advice given as specific legal advice beyond the consultation context, and NovaBridge’s responsibilities to you are limited to the consultation itself.
Cancellation and Rescheduling: If you need to cancel or reschedule a consultation, please do so in accordance with any instructions provided at the time of booking or in your confirmation. We require a minimum notice for cancellations (e.g., 24 hours) to issue refunds or reschedule without penalty, if applicable. NovaBridge reserves the right to charge a cancellation fee or withhold a refund for missed appointments or last-minute cancellations, except where prohibited by law or as outlined in the booking terms you agreed to.
By using our services, you agree to fulfill the following client responsibilities to ensure a smooth and effective process:
Provide Accurate Information: You will provide truthful, accurate, and complete information in all communications and forms. This includes any details for immigration assessments, consultation requests, and, if you become a client, all information and documentation for applications. You are responsible for ensuring that any documents (e.g., passports, certificates) are genuine and unaltered. Misrepresenting or withholding information can have serious legal consequences and may lead us to terminate services.
Timely Cooperation: You will promptly provide any documents, forms, or responses that we request as needed to perform the services. Delays in providing information or documents may affect our ability to deliver services in a timely manner.
Lawful Use Only: You agree to use our website and services only for lawful purposes. You must not use the site to engage in any fraudulent, illegal, or unauthorized activities, including (but not limited to) fraudulently posing as another person, submitting false information, or attempting to gain unauthorized access to systems.
Technical Requirements: You are responsible for ensuring you have the necessary equipment and internet access to use our online services (for example, a computer or phone for video calls, a stable internet connection, and updated software). We are not liable if you are unable to access services due to your own technical issues.
Respectful Communication: You agree to communicate with NovaBridge staff and consultants respectfully. Any form of abusive, threatening, or harassing behavior may result in termination of services (see Section 14). We in turn commit to treating you with professionalism and respect.
Failure to meet these responsibilities may impact the quality, legality, and timeliness of the services we can provide. NovaBridge reserves the right to refuse or discontinue services if you violate these responsibilities or any other terms.
Fee Transparency: NovaBridge will clearly inform you of any fees associated with our services before you incur them. For example, if there is a fee for booking an initial consultation or for any document review service, the amount will be displayed on the booking page or communicated to you in advance. All fees are listed in Canadian Dollars (CAD) unless otherwise stated, and applicable taxes (e.g., GST/HST) will be added as required by law.
Payment Process: Payments for online services (such as consultation fees) are typically processed through our website via a secure third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and you authorize us (or our third-party processor) to charge the full amount of the service fee to the payment method you provide. We do not store full credit card numbers on our servers; payment details are handled by compliant payment gateways. NovaBridge is not responsible for any errors or security breaches caused by third-party payment processors, but we select reputable providers and take reasonable steps to ensure your payment information is handled securely.
No Refunds Policy (if applicable): Fees for completed services (such as a consultation that has been conducted) are generally non-refundable. If you are dissatisfied with a service, please contact us to discuss your concerns (we address complaints in good faith – see Section 15 on Contact and Complaints). For services not yet rendered (e.g. you paid for a consultation but provided adequate notice of cancellation as per Section 4), we may offer refunds at our discretion or as required by law. Any specific refund or cancellation terms communicated at the time of booking will apply and prevail over this general policy in case of conflict.
Changes in Fees: NovaBridge reserves the right to change the fees for its services or introduce new fees. However, no fee change will retroactively affect a service you already paid for or booked. New or adjusted fees will apply only to services booked or purchased after the fee change is published.
No Legal Advice on Website: The content and materials available on our website (including articles, service descriptions, FAQs, or any informational text) are provided for general informational purposes only. This information is not intended as legal advice or specific immigration advice for your situation, and should not be relied upon as such without consulting our consultant directly. Immigration laws and regulations are complex and fact-specific; you should seek a personal consultation for advice tailored to your circumstances. No client-consultant relationship is formed by reading our website or contacting us through the site alone, until we have explicitly agreed to take your case and a formal agreement is in place (see Section 4 and 5).
You acknowledge that any actions you take based on information on our site are at your own risk. NovaBridge disclaims any liability for decisions made based on website content. Content on our site is for general information only and should not be relied upon without seeking further professional advice.
No Guarantee of Immigration Outcome: NovaBridge will provide knowledgeable guidance and professional assistance for your Canadian immigration matters; however, we do not and cannot guarantee any particular result or outcome of an application or immigration process. All decisions on visas, permits, and immigration applications are made by the Government of Canada or other official authorities, not by NovaBridge. We cannot promise that you will obtain approval, immigration status, or any immigration benefit by using our services. While we may provide assessments of your chances or guidance on requirements, these are estimates and not guarantees. Final determinations are made solely by the relevant Canadian immigration authorities (such as IRCC or visa offices), and outcomes depend on many factors beyond our control.
By using our services, you acknowledge that success is not assured and that any fees paid are for the consulting services rendered, not for any specific immigration result. NovaBridge is not liable for results that are unsatisfactory or not as expected, as long as we have provided services in accordance with the terms and the standards of our profession (see Section 10 on liability limitation).
Ownership of Website Content: All content on the NovaBridge website – including text, logos, graphics, images, design, compilations, and software – is the property of NovaBridge Immigration Services Corp. or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. NovaBridge retains all rights, title, and interest in this content. You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the content for your personal, non-commercial use in connection with learning about or using our services. You may not reproduce, distribute, modify, republish, upload, post, or transmit any part of this website’s content without our prior written permission. Removing or altering any copyright or proprietary notices on our materials is prohibited.
NovaBridge Name and Logo: “NovaBridge Immigration Services Corp.” and related trade names or logos are trademarks or trade names owned by us. No license or right is granted to use them without our express permission. All other trademarks on the site that are not owned by NovaBridge (for example, logos of regulatory bodies or payment services) are the property of their respective owners and are used on our site for identification purposes only.
Acceptable Use Policy: You agree to use this website only for its intended purposes and in a manner that does not damage, disable, overburden, or impair our site or interfere with any other party’s use of the site. Specifically, you agree not to:
Use the site in any way that violates any applicable federal, provincial, or local law or regulation.
Attempt to gain unauthorized access to any portion of the website, other user data, or NovaBridge’s computer systems (e.g., by hacking, password “mining,” or any other illegitimate means).
Introduce any harmful or malicious code to the site, such as viruses, trojans, worms, logic bombs, or any other material that is technologically harmful.
Use any automated system (such as bots, spiders, or scrapers) to access the site for any purpose without our express written permission.
Attempt to disrupt the website’s functioning or the services offered, including by overwhelming the server with excessive traffic (denial-of-service attacks) or exploiting software vulnerabilities.
Misuse any contact forms or interactive features on the site. This includes refraining from posting or transmitting any unlawful, defamatory, abusive, obscene, or otherwise objectionable content.
NovaBridge reserves the right to monitor use of the site to ensure compliance with these Terms. If we determine, in our discretion, that you have violated the Acceptable Use provisions or any other part of these Terms, we may take action including terminating or suspending your access (see Section 14), and/or taking legal action if warranted.
Your privacy is important to us. NovaBridge is committed to protecting your personal information and using it only in compliance with applicable privacy laws, including the federal Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta’s Personal Information Protection Act (PIPA). We collect, use, disclose, and retain personal information only for purposes related to providing our services (such as scheduling consultations, assessing eligibility, and communicating with you) or as otherwise consented to by you and permitted by law.
Consent: By providing personal information to us (through our website forms, email, or in consultations), you consent to NovaBridge collecting and using your information for the purposes for which you provided it and as outlined in our Privacy Policy. This may include contacting you via email or phone to follow up on your inquiry, send appointment reminders, or discuss our services. We will not send you marketing communications unless you have explicitly opted-in to such communications, and you can opt out at any time.
Protection of Personal Data: We implement reasonable administrative, technical, and physical safeguards to protect your personal information against loss or theft, as well as unauthorized access, disclosure, copying, use, or modification. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security of information, especially for data transmitted via email or web forms. Please use caution when sending sensitive information electronically. NovaBridge will notify individuals and/or authorities of data breaches as required by law.
Privacy Policy: Further details on how we handle personal information (including the purposes of collection, how you can access or correct your data, etc.) are provided in our Privacy Policy, which is incorporated by reference into these Terms. By agreeing to these Terms, you also agree to the terms of our Privacy Policy. If there is any conflict between these Terms of Service and the Privacy Policy regarding personal information, the Privacy Policy will govern.
Confidentiality of Client Information: As an immigration consultancy regulated by CICC, NovaBridge adheres to strict professional standards of confidentiality. Any information you share with us as a client or prospective client will be kept confidential and used only for the purposes of delivering services to you, except as authorized by you or required by law or regulatory obligations. We abide by the CICC Code of Professional Conduct, which mandates the secure and confidential handling of client information and overall professionalism. This means we will not disclose your personal details or case information to third parties without your consent, except in circumstances such as: responding to lawful requests by government agencies, compliance with a subpoena or court order, or as needed to prevent fraud or harm in accordance with law.
By using our site and services, you acknowledge that you have read our Privacy Policy and understand that your personal information will be collected and used as described therein. If you do not agree with our privacy practices, please do not use the website or services.
NovaBridge Immigration Services Corp. and its representatives are dedicated to maintaining the highest professional and ethical standards. We are licensed by the College of Immigration and Citizenship Consultants (CICC), and our RCIC is bound to the CICC’s Code of Professional Conduct. In our practice, we comply with all legal and regulatory requirements governing immigration consulting, including but not limited to:
College of Immigration and Citizenship Consultants Act and Regulations: We maintain our good standing and license under the regime established by this Act, which regulates immigration and citizenship consultants in Canada.
Immigration and Refugee Protection Act (IRPA) and Regulations (IRPR): We are authorized under IRPA/IRPR to act as a paid immigration representative for clients, as a member of the CICC. We abide by the provisions of these laws in all advice and services (for example, we ensure truthful representation and adherence to immigration procedures).
CICC Code of Professional Conduct: We strictly follow the Code, which sets out standards for competence, quality of service, professionalism, honesty, and integrity in our dealings. This includes avoiding conflicts of interest, providing services diligently and competently, and maintaining client confidentiality as described in Section 9. We also do not make false or misleading promises regarding outcomes and we provide realistic advice in the best interests of our clients.
Privacy Laws: As noted in Section 9, we handle personal information in compliance with PIPEDA (federal) and PIPA (Alberta) and any other applicable privacy legislation. We also follow any CICC guidelines on client confidentiality and record-keeping.
Other Applicable Laws: NovaBridge complies with all other applicable Canadian federal and provincial laws in the operation of our business (such as consumer protection laws, anti-spam legislation for communications, and human rights laws as detailed below).
Our compliance with these laws and standards is not only a legal requirement but a commitment to our clients. If you have any questions about our qualifications or licensure, you may verify our RCIC’s status on the official CICC public register, or contact us for more information. We encourage clients to verify that any immigration consultant they engage is properly licensed and we provide our licensing information on our website for your peace of mind.
NovaBridge is committed to providing services that are accessible, inclusive, and fair to all clients and users of our website. We believe in treating everyone with dignity and respect, in line with both professional standards and human rights principles.
Non-Discrimination: We do not discriminate against any client or website user on the basis of race, color, religion, national origin, gender, sexual orientation, age, marital status, disability, or any other characteristic protected by the Canadian Human Rights Act or applicable provincial human rights laws. The CICC Code of Professional Conduct explicitly prohibits licensees from engaging in discriminatory practices. NovaBridge fully upholds this standard. You can expect to receive equal and fair treatment when seeking our services. Similarly, we expect that our clients will treat our staff and consultants with respect and without discrimination.
Accessibility: We strive to make our website and services accessible to individuals with disabilities. Our website is designed with consideration for accessibility standards, and we aim to comply with recognized guidelines (such as Web Content Accessibility Guidelines (WCAG)) to the extent feasible. If you have any trouble using our site due to a disability, please contact us and we will do our best to provide the information or service you need through an alternate method.
For in-person or virtual consultations, if you require any accommodations (for example, the presence of a sign language interpreter, the use of assistive technology, or scheduling considerations), please inform us in advance. We will make reasonable efforts to accommodate such requests in accordance with our professional obligations and applicable accessibility laws.
Fairness and Professional Conduct: NovaBridge’s commitment to fairness also means we operate transparently and ethically. We will explain our services and fees clearly, so you can make informed decisions. We encourage questions and will do our best to ensure you fully understand any documents or processes during your engagement with us. Our goal is to empower clients with knowledge and to provide guidance that is fair, honest, and in your best interest. We do not pressure clients into unnecessary services and we adhere to the CICC Code’s requirements to avoid conflicts of interest, to not harass or coerce any person, and to conduct ourselves with integrity at all times.
Use of Site “As-Is”: Your use of the NovaBridge website and services is at your own risk. We provide the website, its content, and our services on an “as is” and “as available” basis, without any warranties or conditions of any kind, either express or implied. NovaBridge disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that might arise from a course of dealing or usage of trade.
In particular, we do not guarantee that: (a) the website will be available, uninterrupted, or error-free at all times, (b) the information on the website is completely current or free of errors or omissions (though we strive to correct inaccuracies when discovered), (c) any electronic communication sent from us is free of viruses or other harmful components, or (d) any results that may be obtained from using the service (such as improvement of your chances in an immigration application) will meet your expectations. While we strive for accuracy and reliability, no information or advice obtained from NovaBridge, whether through the website or in a consultation, creates any warranty not expressly stated in these terms.
No Warranty for Third-Party Services: If you access third-party websites or services through links on our site (for example, a payment processing service or a government website for forms), you understand that those sites are independent from NovaBridge. We make no warranties regarding any third-party entities, their information, or services. Please see Section 13 on third-party links for more information.
Some jurisdictions may not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, any warranties required by law are limited to the shortest period and scope permitted by law.
To the fullest extent permitted by applicable law, NovaBridge Immigration Services Corp. and its directors, officers, employees, agents, consultants, and representatives shall not be liable for any damages of any kind arising from or in connection with your use of (or inability to use) this website, or any of our services or content. This includes, without limitation, any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of profits, loss of data, business interruption, goodwill, or other intangible losses, even if we have been advised of the possibility of such damage or loss.
Specific examples of scenarios where we are not liable include (but are not limited to):
Losses or damages resulting from decisions you make based on information on our site or provided in a consultation (since ultimately immigration outcomes are decided by government authorities and can be unpredictable).
Any harm to your computer system or loss of data that results from accessing or downloading content from our website (we advise you to ensure you have up-to-date antivirus and security protections).
Consequences of any unauthorized access to or use of our servers and/or any personal information stored therein, except to the extent we breached our legal obligations to protect your data.
The actions or inactions of third-party service providers used in delivering our services (e.g., payment processors, video conferencing platforms, couriers, etc.), which are beyond our control.
No Liability for Immigration Decisions: You acknowledge that immigration authorities have sole discretion in approving or denying applications. NovaBridge cannot and does not accept liability for outcomes of your immigration applications. Our liability is limited to the services we provide (such as advising, preparing documents, etc.), and we will perform these services with reasonable care and skill. We are not liable for factors outside our control, such as changes in law, government processing delays, or decisions by officials.
Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so the above limitations may not apply to you in their entirety. However, these limitations and exclusions will apply to you to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless NovaBridge, its affiliated companies, and each of their respective owners, directors, officers, employees, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, liabilities, losses, expenses, damages, and costs (including reasonable legal fees) that arise out of or are related to: (a) your use of this website or our services, (b) your violation of these Terms of Service, any other agreement with NovaBridge, or any applicable law or regulation, or (c) your infringement of any intellectual property or other rights of NovaBridge or any third party.
In plain terms, this means that if a third party (or authority) brings a claim against NovaBridge due to something you did – for example, if you provided false information, violated someone’s rights using our service, or otherwise breached the Terms causing harm – you will cover the costs and damages for the Indemnified Parties to defend and resolve the claim. We will promptly notify you of any such claim and, if you request, cooperate with you (at your expense) in the defense, but we reserve the right to assume exclusive defense and control of any matter subject to indemnification by you (in which case, you agree to cooperate and assist us in asserting any defenses).
Your indemnification obligation will survive any termination of your relationship with NovaBridge or your use of the website, meaning it continues to apply even after you stop using the site or services.
Our website may contain links or references to third-party websites, resources, or services (for example, links to government immigration sites, news articles, scheduling platforms, payment gateways, or other resources we think might be useful to clients). These links are provided for your convenience and informational purposes only. NovaBridge does not endorse and is not responsible for the content, products, services, or information on any third-party websites that are not under our control.
If you decide to access any third-party websites or resources linked from NovaBridge’s site, you do so at your own risk. Be aware that third-party sites have their own terms of use and privacy policies, which may differ from ours. We have no control over and assume no responsibility for the content or practices of any linked third-party sites. You should review the terms and policies of any third-party site you visit.
This disclaimer includes any third-party tools or software used on our site. For example, if our site uses a third-party scheduling system or chat widget, we are not liable for any issues arising from those tools beyond our control. However, if you encounter a broken or problematic link on our site, we would appreciate you notifying us so we can review and update our content.
NovaBridge reserves the right, in its sole discretion, to suspend or terminate your access to the website or any of our services at any time, without prior notice, if we have reason to believe that you have violated these Terms of Service or have engaged in any conduct which we consider to be inappropriate, unlawful, or harmful to others (including to NovaBridge, other clients, or the public). Examples of grounds for termination may include, but are not limited to: misuse of the website (see Acceptable Use in Section 8), non-payment of fees owed, providing false information, abusive behavior toward our staff, or any attempt to undermine the security or integrity of our operations.
If your access or services are terminated by us due to a breach of these terms, you will not be entitled to any refunds for fees paid, and you remain responsible for any outstanding obligations to NovaBridge (such as unpaid fees or indemnification commitments). We also reserve the right to refuse future service or access to anyone who has violated these terms.
Your Right to Cease Use: You may stop using our website or services at any time. If you wish to terminate a formal engagement (i.e., a signed retainer agreement for ongoing services), please refer to the termination clause of that agreement or contact us directly. Terminating use of the website does not automatically terminate any contractual obligations you have as a client under a signed agreement.
Even after termination of these Terms or your access, certain provisions of this agreement will continue to apply by their nature. These surviving sections include, but are not limited to: No Guarantee of Outcomes (Section 7), No Legal Advice (Section 7), Intellectual Property (Section 8), Disclaimers (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Governing Law (Section 17), and any other provisions that are stated to survive or that must survive to give effect to the parties’ intentions.
NovaBridge may revise or update these Terms of Service occasionally to reflect changes in our services, legal obligations, or for other operational reasons. When we make changes, we will update the “Effective Date” at the top of this document. Changes take effect immediately upon being posted to this page, unless stated otherwise.
If a revision is significant, we will make an effort to notify users by a prominent notice on our website or through other reasonable means. However, it is ultimately your responsibility to review these Terms periodically for any updates. Your continued use of the site or our services after any changes to the Terms constitutes acceptance of those changes. If you do not agree to the modified terms, you must discontinue use of the website and services.
For any questions or concerns about changes to these Terms, you can contact us (see Section 18). We encourage you to print or save a copy of these Terms for your records, and we will maintain an archive of previous versions if required by law.
These Terms of Service, and any separate agreements whereby we provide you services, shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. This governing law applies no matter where you are located, meaning that if you use our site or services from outside Canada, the laws of Alberta (and applicable federal laws of Canada) will still govern.
Jurisdiction: You agree that any disputes arising out of or relating to these Terms or your use of the website or services that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of the Province of Alberta, Canada. You agree to attorn (submit) to the jurisdiction of Alberta courts, meaning you will bring any legal action against NovaBridge only in Alberta, and you accept that Alberta is an appropriate and convenient forum. NovaBridge reserves the right to seek injunctive or equitable relief in any jurisdiction if necessary to protect its intellectual property or enforce these terms, but the interpretation of these Terms shall remain under Alberta law.
If you are a consumer residing outside of Alberta, you may have rights to bring an action in your home jurisdiction under certain consumer protection laws; nothing in this section is intended to limit any rights you have that are not waivable under law. However, by agreeing to these Terms, you acknowledge the choice of Alberta law and courts to the extent allowed.
We have written these Terms of Service in plain English to be as clear and user-friendly as possible, while still being legally enforceable. If you require an alternative format or accommodation to access these Terms (or any other portion of our website), please contact us and we will do our best to assist you. For example, we can provide a large-print version or an oral explanation of key points, if needed.
If these Terms of Service are translated into another language and there is any inconsistency between the English version and the translated version, the English version will prevail to the extent of the inconsistency (unless prohibited by law). The official language for the purposes of our Terms and communications is English.
Entire Agreement: These Terms of Service (along with any other documents expressly incorporated by reference, such as our Privacy Policy and any signed client retainer agreement for engaged services) constitute the entire agreement between you and NovaBridge regarding your use of this website and our online services. They supersede any prior agreements, understandings, or communications (whether oral or written) relating to the subject matter herein. In case of any conflict between these Terms and a specific signed agreement you have with NovaBridge (for instance, a client service agreement), the signed agreement will prevail for the specific subject matter of that agreement.
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect. The invalid part will be deemed severed from this agreement and will not affect the validity and enforceability of any other provisions.
No Waiver: No failure or delay by NovaBridge in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or any other provision. Any waiver of terms must be in writing and signed by an authorized representative of NovaBridge. A single or partial exercise of a right or remedy does not prevent further exercise of any other right or remedy.
Assignment: You may not assign or transfer any rights or obligations under these Terms to anyone else without our prior written consent. NovaBridge may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law.
Relationship: Using our website or services does not make you an employee, agent, or partner of NovaBridge. You and NovaBridge agree that no joint venture, partnership, employment, or agency relationship is created between us by these Terms or your use of the site.
Headings: The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
